Terms of Use

Last updated: November 3, 2026

These Terms of Use ("Terms") govern your use of the Loopfinity website at loopfinity.ai, the Loopfinity client portal, and the services we provide (together, the "Services"). Loopfinity is a business name of MK Management & Advisory LLC, an Illinois limited liability company ("Loopfinity", "we", "us"). By using the Services, you agree to these Terms.

1. Who these Terms apply to

  • Website visitors: anyone who browses loopfinity.ai, uses our calculator, reads our blog or contacts us.
  • Customers: dental and healthcare practices that sign an order form, pilot agreement or similar agreement with us (an "Agreement"), and the people they authorize to use the portal ("Authorized Users").

If an Agreement or a Business Associate Agreement ("BAA") conflicts with these Terms, the Agreement or BAA controls.

2. What Loopfinity does

Loopfinity helps practices reconnect with patients who are overdue for care. Our automated scheduling assistant ("Margot", or another name the practice chooses) can send text messages and emails the practice has approved, offer and book appointment times, answer calls when the practice is closed or unavailable, take call-back requests, and pass urgent, clinical, billing and other questions to the practice's team. The client portal shows practices their settings, approvals and summary results.

3. Accounts and access

  • Portal accounts are created by invitation only. You must keep your login details secure and not share them.
  • Customers are responsible for who they invite and for all activity under their Authorized Users' accounts.
  • Tell us right away at info@loopfinity.ai if you believe an account has been accessed without permission.

4. Customer responsibilities

Customers agree to:

  • Have and keep all consents required by law to contact their patients by text, phone and email, including under the Telephone Consumer Protection Act (TCPA) and carrier rules, and tell us right away if a patient withdraws consent.
  • Provide accurate patient lists, contact details, appointment availability, fees and practice information.
  • Review and approve message and call-script wording before use, and keep it accurate.
  • Have staff monitor and respond to handoffs, call-back requests and urgent alerts in a timely way.
  • Comply with HIPAA and all other laws that apply to their practice and their communications with patients.

5. Automated communications

  • Margot is an automated assistant. She identifies herself as the practice's automated assistant and never claims to be a person.
  • Patients can reply STOP to stop texts and HELP for help at any time. See our SMS Terms.
  • Loopfinity does not record phone calls or keep call transcripts. We keep a record of call outcomes (for example "booked" or "call-back requested") so the practice can follow up.
  • Message delivery depends on phone carriers and other providers. We cannot guarantee that every message or call will be delivered or received on time.

6. Not medical advice, not an emergency service

Loopfinity does not provide medical or dental advice, diagnosis or treatment. Margot does not assess symptoms. When a patient mentions a possible clinical concern, Margot tells them to contact emergency services (911) if it is severe and alerts the practice's team. Loopfinity is not an emergency service and is not monitored around the clock. All clinical decisions remain the responsibility of the practice and its licensed professionals.

7. Patient information and privacy

  • Before a Customer shares any protected health information ("PHI") with us, the Customer and Loopfinity will sign a BAA. We handle PHI only as the BAA and the law allow.
  • Patient details are processed in the practice's dedicated workspace with service providers that support HIPAA requirements. The client portal displays settings, counts, dollar totals and dates only, not individual patient records.
  • Customers must not enter patient information into portal text fields that are not designed for it.
  • When an Agreement ends, we return or delete the practice's patient information as the Agreement and BAA require.
  • Our Privacy Policy explains how we handle personal information from website visitors and portal users.

8. Acceptable use

You may not:

  • Use the Services to send spam, unlawful, misleading, harassing or unauthorized messages.
  • Contact anyone who has not consented or who has opted out.
  • Try to access accounts, data or systems you are not authorized to access, or test or bypass our security.
  • Copy, resell, reverse engineer or build a competing product from the Services.
  • Upload malicious code or interfere with the Services.

We may suspend access to protect patients, the Services or others, and will tell you as soon as practical.

9. Fees and pilots

  • Fees, pilot terms and payment schedules are set out in each Customer's Agreement. Unless the Agreement says otherwise, fees are due as invoiced and do not include taxes.
  • Pilots are provided to evaluate the Services, may have limited features, and end on the date in the Agreement unless both parties agree to continue.

10. Third-party services

The Services rely on third-party providers, including for cloud hosting, messaging, phone calls, email and calendars. Their availability is not fully within our control. Where a Customer connects its own accounts (for example a calendar), the Customer's use of those accounts is also governed by the provider's terms.

11. Ownership

  • Loopfinity owns the Services, including the software, the portal, our message designs and our brand.
  • Customers own their practice data and patient information.
  • If you give us feedback or suggestions, we may use them to improve the Services without obligation to you.
  • We may use aggregated information that does not identify any patient or practice to operate and improve the Services, as permitted by the BAA and the law.

12. Confidentiality

Each party will keep the other's non-public business information confidential, use it only to perform the Agreement, and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.

13. Estimates and results

Revenue estimates on our website and calculator are illustrations based on the numbers you enter and general assumptions. They are not promises. Actual results depend on each practice's patients, schedule, staff follow-up and other factors.

14. Disclaimers

Except as stated in an Agreement, the Services are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

15. Limitation of liability

To the fullest extent the law allows:

  • Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue.
  • Each party's total liability arising from the Services or an Agreement is limited to the fees the Customer paid to Loopfinity in the 12 months before the event that caused the claim.

These limits do not apply to a party's breach of confidentiality, its indemnity obligations, or liability that cannot be limited by law, and they are subject to any different terms in the Agreement or BAA.

16. Indemnification

  • Customers will defend and indemnify Loopfinity against third-party claims arising from the Customer's patient lists, lack of required consents, message content the Customer approved, or violation of law.
  • Loopfinity will defend and indemnify the Customer against third-party claims that the Services, as provided by us, infringe that party's intellectual property rights.

17. Term and termination

These Terms apply while you use the Services. Each Agreement sets its own term. Either party may end an Agreement as it provides, or immediately if the other party materially breaches these Terms and does not fix the breach within 10 days of written notice. When an Agreement ends, portal access ends and patient information is returned or deleted as described in section 7. Sections 7, 11 to 16, 18 and 19 continue after termination.

18. Changes to these Terms

We may update these Terms from time to time. We will post the new version on this page with a new "Last updated" date and, for material changes, notify Customers by email. Continued use of the Services after a change takes effect means you accept the updated Terms.

19. General

  • These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Cook County, Illinois.
  • If any part of these Terms is unenforceable, the rest remains in effect.
  • Not enforcing a provision is not a waiver.
  • You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of our business.
  • Neither party is liable for delays caused by events beyond its reasonable control.
